6 The spe ci al meeting was call ed to order at 9:12 a.m. by Mayor Reed.

9 PRESENT: Mayor Reed , Vice Mayor Woods , Councilmember Tinsley , Councilmember
10 Premuroso , Counci lm ember Midd leton.
11 ABSENT: None.
12 III.ITEMS FOR COUNCIL ACTION/DISCUSSION:
13 a. AUTHORIZE THE CITY MANAGER AND CITY ATTORNEY TO SETTLE AND DISMISS
14 THE MATTER OF THE CITY OF PALM BEACH GARDENS , FLORIDA V. TRANSFORM
15 OPERATING STORES LLC AND FORBES/COHEN FLORIDA PROPERTIES , L.P.
16 City Attorney, R. Max Lohman discu ssed the case and introduced Jones Foster Chairman
17 Scott Hawkins , who was the co-counsel in representing the City.
18 Scott Hawkins reported that a tentative , complete settlement of all claims and litigation issues
19 in dispute has been reached . If approved by Counci l, documents from all parties will be held in
20 escrow until certain acts have been consummated that do not involve the City . Transform
21 Operating Stores , LLC wi ll no longer have a presence in The Gardens Mall , and the lease rights
22 of Sears wi ll be extinguished. This brings the matter to a conclusion.
23 Vice Mayor Woods made a motion to authorize the City Manager and City Attorney to dismiss
24 the suit with Transform Operating Stores , LLC and execute the settlement.
25 Councilmember Tinsley seconded.
26 Mayor Reed brought the item back for discussion. Discussion ensued .
27 Motion passed 5-0.
