HomeMy WebLinkAboutMinutes Council 010263CITY OF PALM BEACH GARDENS SPECIAL MEETING OF THE CITY COUNCIL JANUARY 2, 1963 SPECIAL MEETING: Upon call of the Acting'Mayor, a special meeting of the City Council of Palm Beach Gardens was held at 10:00 o'clock A.M. on Wednesday, January 2, 1963, at the municipal office of said City, 1001 Park Avenue, Lake Park, Florida. UORUM: The City Clerk announced that a quorum of the City Council was present. PURPOSE: The Acting Mayor informed the members of the Council that this LEASE OF UTILITIES AND EQUIPMENT FROM meeting had been called to consider the lease of the utilities and equip - BANKERS LIFE AND CASUALTY COMPANY ment by the City from Bankers Life and Casualty Company. It was pointed • out that the utilities and equipment were returned to Bankers Life and Casualty Company in accordance with action taken at the special meeting of the City Council on December 22, 1962. Bankers Life and Casualty Company then offered to lease the utilities and equipment to the City for one year, with option for one additional year. The terms of this lease appear most favorable to the City. The Acting Mayor then read the proposed lease between the City and Bankers Life and Casualty Company to the council. A copy of that lease is attached hereto and made a part hereof as Exhibit "A ". Following this reading, there was a lengthy discussion of the proposed lease by the members of the Council. RESOLUTION: Thereupon, upon motion duly made, seconded and unanimously carried, the following resolution was duly adopted: • Special Meeting of the City Council Palm Beach Gardens January 2, 1963 (continued) BE IT RESOLVED, That the City Council of Palm Beach Gardens, in Common Council duly convened, does here- by authorize the City to lease from Bankers Life and Casualty Company the utilities and equipment now own- ed by the latter for a period of one year, with an option for one additional year, and at a yearly rental of $1.00, plus additional rent to cover taxes, depreciation, insurance, and other special items; and BE IT FURTHER RESOLVED, That the Acting Mayor and the City Clerk of the City of Palm Beach Gardens are here- by designated, and they and each of them are hereby duly directed, authorized and empowered, to execute and deliver on behalf of the City an instrument of lease in the form attached hereto as Exhibit "A" to effect the foregoing resolve. ADJOURNMENT: There being no further business to come before the meeting, it was duly adjourned. WAIVER AND By his signature to these minutes, each Councilman hereby waives . PARTIES: The parties to this aijree. ent are BANKERS LITE AND (A$UrATTy COMPANY, an Illinois Corporation duly licensed to do bu�lness in Florida, hereafter referred to as "BNX&ER5 ", and CITY OF PALM BEACH GARDENS, municipal corporation organised and exist- ing under the iota; of Florida, hereafter referred to as "CITY." Wherever used herein, the terms "BANRERS -' and "CITY" include the Parties to this agreement, as yell as their successors and assigns. CONSIDELATION: The consideration for this agreement shall be the mutual covenants, representations, and warranties of the parties to this agreement, and each of them, as vela as the rent hereinafter reserved. r�rP.CT3: Prior to the effective date hereof, CITY was the owner and operator of the water distribution and sewage treatment plants, pipelines and mains. Vella, lift stations and servicing facilities and equipment, together with the natural gas pipe- lines and mains, regulator stations, servicing facilities and equipment for the sale and distribution of natural gas under franchise from the Florida Gas Transmission Cam - i psany, all of which comprise the municipal utilities system of the CITY. CITY was also the owner of various items of machinery and equipment, a list of which is not forth in E:&Ibit "A" attached hereto andaade a part hereof. by action taken pursuant to Resolutions of the City Council of the CITY, duly enacted on December 22, 1562, title to the foregoing property, plant, machinery and equipment was transferred and conveyed by the CITY to BANXW. Both BANKERS and CITY are desirous that the latter continue to operate and manage the utilities system, as well as the equipment mentioned in Exhibit i z :A ', since BA1RKER13 does not have the experience or personnel available for that purpose; and Whl S has agreed to enter into a lease with CITY of the aforementioned system and equipment upoa the terms and conditions ha elnafter set forth: PROPERTY LEASED: EANURS hereby agrees to lease to CITY, and CM'Y hereby agrees to rent from d3A MRS, the following described property, to -wit: WATER AND SEWAGE VT1141TY PLANT: 1. TAMS AND ASSESS1d8N'TS: CITY hereby assure s, conennaots, and agrees to bear, pay and discharge all taxes, assessments, ratea, charges for revere, imposts, and all levies, general and special, ordinary and extraordinary, of every name, nature and kind whatsoever, which may be fixed, charged, levied, assessed, or,other wise imposed upon the malty demised herein, as vmll as upon any and all buildings and improvements there on, and upon any and all of the equipment, machinery, and facilities set forth herein, CITY shall be entitled to ta?e such discounts as, by law, are in such cases provided upon timely payment of any of the aforementioned items. REPAIRS- CITY covenants and agrees tolmaintain and keep repaired any and all buildings, equipment, machinery, and facilities leased to it by BANKERS hereunder and to steep the saw in good condition and repair at all time. Such repairs *hall include, but shall not be limited to, the replace of all worn, damaged, aid /or defective parts or mechanisms, airing,, and pipes or pipelines. CITY shall make all such repairs at its awn cost and expense. At the expiration of the initial period of this lease, and of any renewal period, all buildings, equipment, machinery and facilities leased hereunder, including any replacements or substitutions thereof or repairs thereto made by CITY, *hall be and berm the property of and belong toI;BANKERS. IAiSURANPCE: CITY covenants and agrees that it will at all times during the initial term of this lease, and during any renewal period, have and keep all buildings, equip- 40 sent, machinery, and facilities insured against lose or damage due to fire and other casualty, in an amount not less than their full insurable value and with an insurance company acceptable to BANKERS. CITY likewise covenants and agrees to carry requisite Vorkmer.'s Compensation insurance, and general liability insurance, with $100,000/$300,000 limits, and to require any and all of its subcontractors to do likewise. In each and revery case, CITY covenants and agrees to hold BANKERS harmless frow and against any I and ell liabilities, claims and demands of !very kind and nature whatsoever, arising out of or, in any tmy appertaining to CITY"S!management and /or operation of the leased premises, buildings, equipment, machinery, and facilities. M3 s NSION of ,ITIES S`1STEM: It is anticipated by and bet"en CITY and BANKERS that CITT will be called upon, from time to time, during the Initial term of this lease, and during any renewal perickl, to extend its utilities system and operations into areas of PALK BEACH GARDENS not presently so serviced either in,whols or in part. The parties bereto, and each of them, covenant and agree that any and all such extensions of utilities,`'4bether seater, sewage$ or natural gas, as well as any and all modifications ass *r repairs to existing utilities, shall be done by CITY. CITY shall utilize, for that purpose, its own personnel as well as the machinery and equipment described in Exhibit "A ". CITY Shall likewise purchase for its own account and at its cost and expense, whatever supplies, tools and materials are required for the aforementioned extensions, modifications and /or repairs. In any case, this total amount of such assessments shall be sufficient to finance the extensions of the utilities system as called for by this sub- paragraph to the full extent permitted by Igaw. Upon expiration of the initial term of this lease, or any renewal period, any and all extensions (whether constructed -or erected in accordance with subparagraph (1) or subparagraph (2) abode), modifications, improvements and /or repairs upon and to the utilities system (water, sewage, and.vatural gas) shall become the property of and belong to BAMMM. e GNMENT: CITY covenants and agrees that it will not sell, assign, or otherwise dispose of this utilities lease agreement In any manner whatsoever without the prior written consent of BANKERS, and that any attempt on the part of the CITY to do so shall be a breach and violation of this agreements, entitling BANKERS to declare tus lotse null and void forthwith. DEFAULT: If CITY shall violate or default in any of the covenants, conditions, or agreements herein contained, and any such violation or default shall continue for a period of fifteen (15) days after BANKERS notifies CITY in writing of such violation or default, then 4nd in that event BANKERS shall have the option to declare this i utilities lease agreement frfeit and at an and and the balance of the lease term, whether initial or renewal, terminated, and thereafter to re -enter the leased premises and to repossesslthe leased plant, equipment, machinery, and facilities (including any extensions, modifications, improvementa! and /or repairs to any or all of same), with or without legal process, using such reasonable force as maybe necessary to effect this purpose. CITY further ,covenants and agrees that, in addition to all other monies payable or to be paid hereunder, it will pay to BANKERS such additional sums as a Court of competent jurisdiction may adjudge'reasonable as attorney's fees and expenses In any suit or action instituted by BANKERSto enforce the provisions of this agreement, or any of them. WAIVBR: Nothing stated herein shall deny BANKERS the right to waive any violation or breach of the covenants, conditions or agreements herein contained. But a ny such waiver or waivers of any Ouch violation or breach shall not be construed as a waiver of any subsequent violation or breach; nor,shall the consent of approval of BANKERS to any act of CITY requiring BANKERS consent or apkovai to any subsequent similar act by CITY.
