RANK RESOLUTION: The meeting ratified the action of Norman D. Rowland, John MacArthur and C. T. Hyland on opening a bank account for j1 the City with the Riviera Beach Bank of Riviera Beach, Florida, against which account checks may be dram upon the signature of any two of the above -named three individuals. TRAiNSACTIO'NS WITH FLORIDA CONSTRUCTION CaCANY: The Mayor placed before the Council a copy of the minutes of a meeting of the Board of Directors of Florida Construction Company, together with a proposed Pill of Sale and Install- ment Note. Said minutes and said Bill of Sale and Installment Note are embraced herein by reference. Summarized briefly, the transactions contemplate: (A) Purchase by the City of Palm Beach Gardens of equipment and supplies previously belonging to Florida Construction Company but needed by the City of Palm Beach Gardens for its municipal operations. The inventory, in question, valued at approximately :x330,000, is offered subject to bank loans and purchase money obligations of approximately X215,000. It is proposed that the balance, estimated at $115,000, be paid by Palm Beach Gardens in five (5) equal semi - annual installments, commencing about six months from date, with interest at 5% per annum. Exact figures are to be determined by audit and /or arbitration. (R) Florida Construction Company, it is proposed, shall be granted a manage- ment -type contract to perform as Public `forks ,apartment, and in other capacities, providing services and materials for the City of Palm Beach Gardens under supervision and check by John 14. Klink, City Lngineer of Palm Beach Gardens, on a cost plus 51': basis. (C) where Florida Construction Company uses machinery and equipment on City operations, of course no rental would be charged since the equipment is to belong to Palm B -ach Gardens. However, where Florida Construction Company uses the equipment proposed to be sold to Palm Beach Gardens on operations for individuals or companies other than Palm Beach Gardens, Florida Construction Company should pay a reasonable rental for the equipment, depending upon sound depreciated value, rate of depreciation, and other pertinent factors as determined by established accounting practice. After extended discussion, the City Council voted unanimously: (1) To purchase the equipment and issue its note therefor, as per copy attached; and authorize Herbert B. Thompson, i4ayor, to execute the contract in question upon attestation of Norman D. Rowland, City Clerk; purchase to be effective this 31st day of December, 1959. - 'Meetink - City Council City of Palm Beach Gardens 12/31/59 Page Two the City Council voted - contTd. (2) To enter into the management contract with Florida Construction Company as outlined above. (3) To enter into the rental agreement with Florida Construction Company as outlined above. (4) To notify Florida Construction Company of acceptance of the proffered agreements, effective immediately. SHELL PIT PURCHASE: The Mayor reported that the shell pit purchase, authorized by the City Council on ilovember 13th, 1959, had not yet been consummated; but that negotiations were still in progress. CITY ENGIICER: The Nayor notified the Council that negotiations had been entered upon with John H. Klink, former City Engineer of ATest Palm Beach, to become City Engineer of Palm Beach Gardens. Other members of the Council pointed out that the transactions of Florida Construction Company contemplated the activities of a City Engineer. After exten- sive discussion, the retention of Mr. Klink as City Engineer, on a trial basis, at a salary not to exceed x,10,000 a year, was unanimously authorized. PLATTING STUTTDARW: The i -iayor pointed ou aNaAscertain land within the corporate border of Palm Beac was ready for platting, and that the owners thereof had completed a large portion of the necessary work to qualify said land as acceptable City lots. CITY CHARTER: The City Charter authorizes the City Council to accept or approve plats; but such approval implies or requires specifications or standards of approval. The City Council by unanimous vote directed that, pend- ing further action of the Council it was the sense of the City that the standards imposed by Palm Beach County for the acceptance of plats, be adopted, insofar as applicable, as the standards of the City of Palm Beach Gardens; but with the distinct understanding that these standards doubtless will be modified by the City at a later date, and that their present interim adoption shall create no estoppel against the City from making subsequent modifications. (1) The price thereof shall be not more than the value thereof carried on the books of the Florida Construction Company and representing fair and reasonable depreciation up to December 31, 1959, estimated at $3309000.00 (Three hundred thirty thousand dollars and no cents), but shall be subject to adjustment and audit. (2) Palm Beach Gardens shall assume and sbnll be credited with the amount of the bank loans and purchase money obligations outstanding as regards said equipment, the amount of which is estimated at $215,000.00 (Two hundred fifteen thousand dollars and no cents), but shall be subject to adjustment and audit. (3) The balance estimated at $115,000.00 (One hundred fifteen thousand dollars and no cents), �-...
