INTERLOCAL AGREEMENT ENTERED INTO BY THE BOARD OF COUNTY
COMMISSIONERS OF PALM BEACH COUNTY, FLORIDA AND
THE CITY OF PALM BEACH GARDENS FOR THE PURPOSE OF CREATING THE
SCRIPPS RESEARCH AND DEVELOPMENT PLANNING AREA; ESTABLISHING A
JOINT PROCESS FOR REVIEWING DEVELOPMENT WITHIN THE PLANNING
AREA; AND PREPARATION OF A JOINT MASTER PLAN.
This Interlocal Agreement, hereinafter referred to as "Agreement," is made this
day of between the City of Palm Beach Gardens, hereinafter
referred to as "City," and Palm Beach County, a political subdivision of the State of Florida,
hereinafter referred to as "County." (The City and the County are jointly referred to herein
as "parties. ")
WHEREAS, to facilitate the establishment and operation of a state of the art
biomedical research institution and campus for the purposes of enhancing education and
research and promoting economic development and diversity, the Legislature of the State
of Florida has enacted Section 288.955, Florida Statutes, to create the Scripps Funding
Corporation to fund the establishment of Scripps Florida; and
WHEREAS, the corporation shall facilitate and oversee the state goal of public
purpose of providing financial support for the institution and campus in order to expand the
amount and prominence of biomedical research conducted in this state, provide an
inducement for high - technology businesses to locate in this state, create educational
opportunities through access to and partnerships with the institution, and promote
improved health care through the scientific outcomes of the institution; and
WHEREAS, it is the intent of the Legislature to improve economic opportunities
available to the people of this state by attracting new or expanding businesses to and
retaining business in the state; and
WHEREAS, it is the intent of the Legislature to accelerate the development of
biomedical research and development projects in the state; and
WHEREAS, the parties recognize the importance of attracting and retaining
businesses that create jobs, pay high wages, and strengthen, as well as diversify, the
economy of Palm Beach County; and
WHEREAS, the parties recognize that economic development projects must be
thoughtfully planned to protect the environment; and
WHEREAS, Scripps Florida is locating its permanent facility in Palm Beach County
on a portion of the area subject to this Agreement; and
WHEREAS, to attract Scripps Florida to locate in Palm Beach County, the Business
Development Board represented to Scripps that a combined site of approximately 4,000
acres (hereinafter referred to as "Scripps Planning Area ") would be available for the
development of the research institution and campus and related economic clusters of like
research companies or organizations; and
WHEREAS, Scripps requires that residential development be located within or
among these economic clusters such that employees within the Scripps Planning Area will
experience no more than ten - minute commutes; and
WHEREAS, Scripps requires the urban form for the Scripps Planning Area to
provide opportunities for social interaction and intellectual exchange of ideas between and
among the employees of the Scripps Scientific Village; and
WHEREAS, joint planning by the City and the County will ensure that the intent of
the Legislature will be accomplished and will promote the success of the Scripps Planning
Area and Scripps Florida by promoting quality development, compatibility of uses, and
innovative community and environmental planning; and
WHEREAS, both parties exercise comprehensive planning authority pursuant to the
Local Government Comprehensive Planning and Land Development Regulation Act, as set
forth in Part 11 of Chapter 163, Florida Statutes, hereinafter, the "Planning Act ", and enforce
land development regulations to regulate the development of land within the respective
areas of jurisdiction of each party; and
WHEREAS, Section 163.3171, Florida Statutes (2003), provides that a county and a
municipality may jointly exercise the powers granted under the provisions of the Planning
Act upon formal adoption of an official agreement by the governing bodies involved
pursuant to law; and
WHEREAS, the general administration of this Agreement is governed by the
provisions of Part I of Chapter 163, Florida Statutes (2003), the Florida Interlocal
Cooperation Act of 1969, hereinafter the " Interlocal Cooperation Act "; and
WHEREAS, the parties have determined that it is appropriate to enter into this
Agreement in order to ensure efficient and orderly development, intergovernmental
coordination and cooperation, and to provide heightened review of development proposals;
and
WHEREAS, the orderly planning for future development of property in both the
County and the City requires that the procedures set forth herein be followed; and
WHEREAS, Policy 1.4 -a of the Intergovernmental Coordination Element of the 1989
Palm Beach County Comprehensive Plan encourages rational and logical annexations
conducted in accordance with Chapter 171, Florida Statutes, and which maintains or
enhances plan consistency and service delivery; and

WHEREAS, Policy 1.4 -d of the Intergovernmental Coordination Element of the 1989
Palm Beach County Comprehensive Plan calls for the County to pursue interlocal
agreements with municipalities that have identified future land use designations for
adjacent unincorporated areas; and
WHEREAS, Objective 1.1.8 of the Future Land Use Element of the Palm Beach
Gardens Comprehensive Plan calls for the City to improve coordination with affected and
appropriate governments and agencies to maximize their input into the planning and
development process and mitigate potential adverse impacts of future development and
redevelopment activities; and
WHEREAS, Policy 1.1.8.3 of the Future Land Use Element of the City of Palm
Beach Gardens Comprehensive Plan calls for the City to coordinate requests for
development orders or permits, as required, with Palm Beach County, adjacent
municipalities, the Countywide Intergovernmental Coordination Program, Treasure Coast
Regional Planning Council, South Florida Water Management District, and state and
federal agencies; and
WHEREAS, Policy 1.1.6.3 of the Future Land Use Element of the City of Palm
Beach Gardens Comprehensive Plan encourages the coordination with affected land
owners, government, and agencies for the future annexation of lands as identified in the
City's future annexation area (Map J); and
WHEREAS, the City and County have each held a public hearing on this Agreement
with public notice.
NOW, THEREFORE, in consideration of the covenants made by each party, the
mutual obligations, undertakings, and advantages to be realized by the parties hereto, the
parties do hereby covenant and decree as follows:
Section 1. Incorporation of Recitals.
The foregoing recitals are true and correct, were relied on by the parties entering into this
Agreement, and are a part of and incorporated into this Agreement.
Section 2. Purpose and Intent.
It is the purpose and intent of this Agreement to ensure that the goals of the Governor and
the State Legislature will be accomplished and that the quality development of the overall
Scripps Planning Area will be accomplished through innovative community and
environmental planning. It is further the intent of this Agreement to plan for the
development of the combined approximately 4,000 acre site to allow for the development
of the research institution and campus and related economic clusters of like research
companies or organizations, as well as residential, community, and support commercial
facilities.

Section 3. Authority.
This Agreement is entered into pursuant to the general authority of the Planning Act and
the Interlocal Cooperation Act.
Section 4. Definitions.
For purposes of this Agreement, the following terms are defined as follows:
A. Advising Local Government - the government reviewing a development proposal or
plan amendment located within the jurisdiction of the jurisdictional local government.
B. Jurisdictional Local Government - the local government processing the development
application.
C. Joint Review - review by jurisdictional and advising local government.
D. Planning Director - the planning official designated by each of the parties to
implement this Agreement.
E. Joint Master Plan - the Conceptual Joint Master Plan for the Scripps Planning Area
contemplated in this Agreement.
F. Scripps Scientific Research and Development Planning Area - The area described
and depicted in Exhibit A (hereinafter referred to as "Scripps Planning Area ").
G. Western Area — the area described and depicted in Exhibit B.
H. Eastern Area — the area described and depicted in Exhibit C.
I. Scripps 2004 Comprehensive Plan Amendments (County) — those proposed
amendments to the Palm Beach County Comprehensive Plan necessary to
effectuate the development proposed for the Scripps Planning Area.
J. Scripps 2004 Comprehensive Plan Amendments (City) — those proposed
amendments to the City of Palm Beach Gardens Comprehensive Plan necessary to
effectuate the development proposed for the Scripps Planning Area.
K. Parkway - a road which functions as a major arterial designed with minimum rights -
of -way of 300 -400 feet to allow for sidewalks and bicycle paths, special landscape
treatment, and corridor buffers

Section 5. Term.
This Agreement shall remain in effect until such time that the Agreement is terminated by
the City or the County, following the adoption of a resolution for that purpose. As a
condition precedent to the termination of this Agreement, the party proposing to take such
action shall provide one (1) year advance written notice of its intention to terminate this
Agreement, unless a shorter period of time is jointly agreed to by the City and the County.
Section 6. Transportation Issues.
A. The County agrees to process as a component of the Scripps 2004 Comprehensive
Plan Amendments (County) such amendments to the Transportation Element of the
Palm Beach County Comprehensive Plan as are necessary to accommodate the
proposed development of the property described in both Exhibit B and Exhibit C.
Those amendments will consist of a concurrency exemption consistent with Policies
1.2 -e, 1.2 -i, 1.2 -p, and 1.4 -q of the Transportation Element of the County
Comprehensive Plan or a similar methodology. The density and intensity of the
development proposed on the property described in Exhibit C will be attached as
Exhibit D no later than ten (10) days after the effective date of this Agreement.
B. The County also agrees to process, as a component of the Scripps 2004
Comprehensive Plan Amendments (County), those amendments which are
necessary to accommodate the extension of PGA Boulevard as a six (6) lane
divided Parkway west to connect to Seminole Pratt - Whitney Road.
C. The City agrees to process, as a component of the Scripps 2004 Comprehensive
Plan Amendments (City), those amendments which are necessaryto accommodate
the extension of PGA Boulevard as a six (6) lane divided Parkway west to connect
to Seminole Pratt - Whitney Road.
D. Consistent with Policy 1.4 -t of the Transportation Element of the County's
Comprehensive Plan, the County agrees that a City representative will be included
in any County activity to plan or design a road into, through, or from the Western
and Eastern Areas.
Section 7. Other Comprehensive Planning Issues.
The parties agree that, in addition to amendments to the respective Transportation
Elements described in Section 6 above, it will be necessary to amend certain other
elements of both the County and the City Comprehensive Plan. The parties agree to meet
and coordinate identification of other Goals, Policies, and Objectives which will need to be
amended to accommodate development of the Scripps Planning Area. Each party shall,
within fifteen (15) days of the execution of this Agreement, furnish the other party with a list
identifying the necessary amendments for their respective Comprehensive Plans.

Section 8. Annexation.
The parties acknowledge that the Western Area property is located within the Future
Annexation Area established in Map J of the Comprehensive Plan of the City of Palm
Beach Gardens. The parties acknowledge that such property is contiguous to the City's
boundaries, reasonably compact, and that no part of the area is included within the
boundary of another incorporated municipality. The parties agree that the annexation of the
property described in Exhibit B into the City of Palm Beach Gardens is a logical extension
of the City and is consistent with Chapter 171, Florida Statutes.
The County, as owner of the Western Area property, agrees to apply to voluntarily annex
the property into the City of Palm Beach Gardens within thirty (30) days of the effective
date of the DRI Development Order for the Western Area. In the event that the County
does not own all or a portion of the property on that date, then the County shall apply to
voluntarily annex the portion of the property remaining in County ownership, and further
agrees not to object to any annexation of any portion no longer under County ownership.
Section 9. - Planning, Zoning and Building Responsibilities after Annexation.
The parties acknowledge that the County has invested substantial funds in the acquisition,
planning, and development of the Western Area property and that the Western Area
property will be subject to a Development of Regional Impact Development Order
processed by the County. To the extent permitted by law, and consistent with the
provisions of Section 163.3177, Florida Statutes, the parties agree that the County shall
continue to exercise planning, zoning, building, and code enforcement authority for the
Western Area property. The City agrees to take whatever additional steps are determined
legally necessary to accomplish this reservation of authority after annexation, including the
execution of additional Interlocal Agreements if such are determined necessary.
Section 10. Utilities.
The parties acknowledge and agree that the Scripps Planning Area is within the service
area boundaries of the Seacoast Utility Authority established by Interlocal Agreement dated
August 17, 1988, by and among the City of Palm Beach Gardens, Palm Beach County,
Village of North Palm Beach, Town of Lake Park, and Town of Juno Beach. Neither party
will object if, on an interim basis, water and sewer service to the 100 -acre portion of the
Western Area on which the Scripps Research Institute will be constructed is provided by
Interlocal Agreement with the City of West Palm Beach. The provisions of Section 4 of
Chapter 2003 -420, Laws of Florida, notwithstanding, neither party shall take any action to
remove any or all of the Scripps Planning Area property from the Service Area of Seacoast
Utility Authority.

Section 11. Preparation of Joint Master Plan.
A. The Parties hereby agree to prepare a Joint Master Plan for the Scripps Planning
Area, hereinafter referred to as "Joint Master Plan," no later than April 1, 2004, and
to submit such Joint Master Plan for approval of each respective governing body no
later than May 1, 2004. To ensure that the Joint Master Plan is prepared and
submitted to the governing bodies in a timely manner, the parties agree to hold
weekly status meetings or conference calls between the City and County staff
commencing as of the date of this agreement.
B. The Parties acknowledge that the Joint Master Plan will be a conceptual framework
and that the implementation of the Joint Master Plan will require comprehensive
plan amendments, development of regional impact review, zoning application, plats,
and site plans, as well as permits from additional regulatory agencies. To the extent
permitted by law, the parties agree to initiate and timely process the comprehensive
plan amendments, development of regional impact applications, zoning
applications, plats, site plans, and land development regulation text amendments
necessary to effectuate the Joint Master Plan. The parties acknowledge, however,
that certain changes may be necessary during the DRI and comprehensive plan
amendment process to address comments of other agencies and to provide for
mitigation of the impacts of the proposed development. Furthermore, the parties
recognize that the actions described above are subject to public hearing and public
participation processes, and that the approval of the Joint Master Plan shall not be
construed as an abrogation of the legislative and quasi - judicial authority of the
respective local governments to comprehensively plan and zone.
C. The Joint Master Plan will address the following subjects:
Assignment of generalized land uses, including proposed square footage and
acreage, density, intensity, which take into consideration airport flight path
restrictions.
2. Clustering of uses, mixed uses, and connectivity between the Western Area
and the Eastern Area.
3. Transportation Improvements including internal and external roadway network,
pedestrian and bicycle paths designed to encourage maximum internal trip
capture, as well as multi -modal public transportation consistent with Policy 1.2-
p of the Transportation Element of the County Comprehensive Plan.
4. Generalized location of environmental components such as a flow -way to
connect to the C18 Canal, a wildlife and greenway corridor connecting J.W.
Corbett Wildlife Area, Unit 11, and Hungryland Slough at the west to the
Loxahatchee Slough and Airport Preserve Area at the east.
5. Generalized location of Workforce Housing.
6. Centralized location of government buildings and facilities necessary to provide
municipal services such as police, fire, parks, public works, and other
government functions.
D. In the event that the governing bodies of the parties do not approve a Joint Master
Plan for the Scripps Planning Area by May 1, 2004, then in that event, the parties
agree to enter into an Addendum to this Agreement, which Addendum shall
designate the following points of agreement between the parties:
The location of the major internal and external roadway network.
2. The general location of a flow -way and a wildlife and greenway corridor
connecting J.W. Corbett Wildlife Area, Unit 11, and Hungryland Slough atthe
west to the Loxahatchee Slough and Airport Preserve Area at the east.
3. Timely submittal and processing of Scripps 2004 Comprehensive Plan
Amendments (County) and (City).
4. Annexation.
Section 12. Effect of this Agreement and the Joint Master Plan on the Expedited
Permitting Process.
The parties acknowledge that Palm Beach County and the State of Florida Office of
Tourism, Trade, and Economic Development have entered into a Memorandum of
Agreement pursuant to Section 403.973, Florida Statutes, for the expedited permitting of
the Western Area. The expedited permitting process is necessary to ensure the timely
construction of the Scripps Biomedical Research Institute and Campus. This Agreement
and the Joint Master Plan are not intended to provide a separate basis or cause of action
for challenging any permit subject to the expedited permitting process, nor shall it be
construed to deprive either party of any existing rights and causes of actions available to
challenge such permits.
The parties acknowledge that the City may request the State of Florida Office of Tourism,
Trade, and Economic Development to enter into a Memorandum of Agreement pursuant to
Section 403.973, Florida Statutes, for the expedited permitting of the portion of area
subject to this Agreement described in Exhibit C. For purposes of supporting the City's
request to the State of Florida Office of Tourism, Trade, and Economic Development, the
County designates the project proposed for the Eastern Area of the Scripps Planning Area
as part of a campus associated with the state -of- the -art biomedical research institution
described in Section 403.973(3)(e), Florida Statutes.

Section 13. Scripps Joint Planning Area Procedures.
After this Agreement has gone into effect and each of the parties has adopted by
resolution the Joint Master Plan, the procedure to amend local land use maps in areas
subject to this Agreement shall be as follows:
A. Pursuant to the requirements of Chapter 163, Part II, Florida Statutes, the City and
County Comprehensive Plans shall remain in full force and effect over its
jurisdiction. The County and City shall have full authority for the preparation and
adoption of the applicable Comprehensive Plans and any amendments thereto
pursuant to the Planning Act, and for the adoption, amendment, and enforcement of
land development regulations thereunder.
B. All proposed changes to a land use designation on a party's Comprehensive Plan
land use map or map series within the Planning Area shall be reviewed for
consistency with the Joint Master Plan. Any land use map amendment within the
Planning Area shall require use of the joint review process specified in this
Agreement. The joint review process shall require that each of the parties process
the amendment as outlined below:
Joint Planning Review.
a. The Jurisdictional Local Government shall prepare a staff report, and the
Advising Local Government shall prepare a written assessment and
recommendation with comments, which shall become an attachment to the
jurisdictional staff report. The Jurisdictional Local Government's staff
report shall be provided to the staff of the advisory local government at
least ten (10) working days prior to the Jurisdictional Local Government's
Local Planning Agency (LPA) public hearing.
b. The Jurisdictional Local Government LPA shall hold an advertised public
hearing. The Advising Local Government shall be afforded the opportunity
to address the Jurisdictional Local Government LPA during the public
hearing. The Jurisdictional Local Government LPA shall consider the
recommendations of the Advising Local Government during its
deliberations.
c. The Jurisdictional Local Government elected body shall then hold an
advertised public hearing. The Advising Local Government shall be
afforded the opportunity to address the Jurisdictional Local Government
elected body during the public hearing. The Jurisdictional Local
Government elected body shall consider the recommendations of the
Advising Local Government during its deliberations.
2. Additional Considerations.
a. The Jurisdictional Local Government shall have exclusive authority to
determine consistency with the Joint Master Plan.
b. The Jurisdictional Local Government's rules and procedures for the
amendment process shall be adhered to in processing the amendment
application. The procedures herein shall not be construed to supersede or
invalidate the Jurisdictional Local Government's rules and procedures.
c. During the joint review process, the Jurisdictional Local Government shall
be responsible for forwarding any revisions to the application to the
Advising Local Government within two (2) working days of receipt of said
revisions.
d. The Jurisdictional Local Government shall provide the Advising Local
Government with at least five (5) working days' notice of all public hearings.
The Jurisdictional Local Government shall immediately notify the Advising
Local Government of any requests to postpone scheduled public hearings.
Section 14. Joint Staff Review of Development Proposals.
All petitions for development approvals within the Planning Area requiring public hearings
before quasi - judicial boards or the legislative bodies of the parties shall be subject to
review by both parties, with the exception of appeals heard by the Palm Beach County
Development Review Appeals Board. The Jurisdictional Local Government shall notify the
Advising Local Government within fifteen (15) working days of the submittal of the
application. The Advising Local Government shall have ten (10) working days, upon
receipt of the application, to provide any written or oral comments or objections to ensure
that the petition meets the recommendations of the Joint Master Plan.
Section 15. Notification.
All notifications required in this Agreement shall be sent to the Planning Directors of each
local government at the following addresses:

Section 16. Enforcement.
This Agreement is valid and enforceable. Only the Parties shall have the right to petition
the Circuit Court of the 15th Judicial Circuit for the State of Florida for specific performance
of any and all of the provisions of this Agreement. A violation of the Agreement shall not
be deemed a violation of a local comprehensive plan. It is not the intent of this Agreement
to confer any rights on any person or entity other than the parties. No person or entity not
a party to this Agreement shall have any claim or cause of action against the parties for
failure to perform in accordance with this Agreement, except as may otherwise be provided
by law.
Section 17. Effective Date.
The provisions of this Agreement shall become effective upon the execution of this
Agreement by both parties.
Section 18. Originals.
This Agreement may be executed in two (2) or more counterparts, each of which shall be
deemed an original. All of which together shall constitute one (1) and the same instrument.
Section 19. Copy Filed with the Clerk.
A copy of this Agreement shall be filed with the Clerk of the Circuit Court in and for Palm
Beach County, Florida.

BACKGROUND
On January 13, 2004, the Board of County Commissioners unanimously authorized the County to
enter into a Joint Planning Agreement (JPA) with the City of Palm Beach Gardens regarding the
development of The Scripps Research Institute.
A letter was received by the City on January 14, 2004, which outlined some of the elements that the
County proposes to consider within the agreement. The elements are as follows:
1. Planning and establishment of compatible and complimentary land uses in the region;
2. Optimization and coordination of infrastructure provision, including drainage, positive outfall
and roadways;
3. Coordination of location of civic and institutional facilities, such as library and schools;
4. Long -term planning of water - related issues to ensure the preservation and enhancement of key
natural features and the environmental resources of Northern Palm Beach County;
5. Maximization of recreational opportunities for the benefit of the general public; and
6. Promotion of effective intergovernmental coordination.
STAFF RECOMMENDATION
Staff supports the City entering into an Interlocal Agreement with Palm Beach County in order
to plan, review, approve, and develop The Scripps Research Institute and related development
with the following essential elements to be included within the agreement:
1. The development on the Mecca and Vavrus properties will be planned, reviewed, and
approved as one (1) area -wide Development of Regional Impact (DRI);
2. If the County declines to participate in one area -wide DRI, then the County will provide
legally binding assurances to the City that a traffic concurrency exemption will be
provided for the development within a DRI on the Vavrus property;
3. The County and the City will support the extension of PGA Boulevard and the
comprehensive plan amendments necessary to provide for such extension; and
4. The County will agree to a schedule for the early annexation of Mecca Farms into the
City of Palm Beach Gardens.

Thank you for meeting with me and representatives of the City of Palm Beach Gardens
on January 9, 2004, regarding The Scripps Research Institute project. This is, truly, a once -in-
a- generation opportunity for our community, and I am grateful that you have offered, on behalf
of Palm Beach County, to partner with the City of Palm Beach Gardens in the planning of the
research park.
It is our hope that through joint planning we will be able to optimize the economic impact
by making provisions to capture the entire biotech cluster that is associated with The Scripps
Research Institute, as well as preserve the character of the surrounding community.
Furthermore, the City understands that the State of Florida has allocated monies to The
Scripps Research Institute based on job creation which can only be accomplished by attracting
the entire biotech cluster. It is my belief that one area -wide DRI, which will take a global look
at the implications provided by having the world - renowned Scripps Research Institute in our
community, is the most effective and efficient planning mechanism at our disposal.
During our meeting this past Friday, you voiced your concern that to include the
property within the City of Palm Beach Gardens in a single area -wide DRI that would include
both the Mecca site and the adjacent Vavrus property would slow down the process and delay
The Scripps Research Institute from occupying their building. We, however, believe that the
Preliminary Development Agreement provisions of Chapter 380 used in conjunction with the
expedited process envisioned by Section 403.973, Florida Statutes, will allow the opportunity
for approval of the Scripps building while the City and the County jointly process a single area
wide DRI that will ensure that a science village is developed, thereby optimizing the County's
and State's return on investment.

I believe that the state -of- the -art biomedical research and technology facility is an
integral component of what will eventually evolve into a much larger project. To plan and
design the research component separately would be to miss an opportunity for a world -class
economic development center, with related industry centers, a significant housing component,
as well as commercial development to support those who will work and live in the larger area.
I believe a true joint planning process between the City and the County is essential to
achieving the goals. established by the Governor and the legislature. The City staff. is
preparing a formal resolution for City Council consideration requesting a cooperative planning
effort between the City and the County through an amended MOA for one area -wide DRI for
the entire project. 1 hope that we can count on your support in moving forward with a truly
innovative joint planning opportunity.

RE: Initial Draft of Joint Planning Agreement with Palm Beach County
On Tuesday, January 27, we received an initial draft of a Joint Planning Agreement (JPA) from
the County Attorney's Office (a copy of which is attached). This draft JPA is patterned after a
similar agreement executed by the County, the City of Palm Beach Gardens, and the City of
West Palm Beach in 1999 relating to the Western Northlake Corridor. As such, the initial draft is
a very conceptual document, which suited the needs of the parties in the 1999 agreement. The
1999 agreement was intended to serve only as a policy guide. Faced with the deadlines
involved with the Scripps project, the new JPA must be far more detailed to become an effective
joint planning tool for both the City and the County.
The most serious concern with the agreement is essentially a matter of timing. At the same time
that the City and the County are negotiating this JPA, and developing the Joint Master Plan, the
County is operating under a March deadline to submit a Project Description to the Office of
Tourism, Trade, and Economic Development (OTTED), which must detail the scope, intensity,
and density of the proposed development on the entire Mecca parcel. By the end of April, the
County intends to have completed their application for amendments to the County
Comprehensive Plan. The County also anticipates a June deadline to submit a complete
application for DRI approval for the entire Mecca parcel. Once those benchmarks are
passed, the window of opportunity for true "joint planning" as it relates to the overall
MeccaNavrus site will be effectively closed.
Of critical concern to the City is the need for certain amendments to the County Comprehensive
Plan to be processed as part of the County's April 2004 amendment submittal. These
amendments must include a concurrency exemption or similar methodology to address traffic,
and also must include amendments to the County thoroughfare plan to include the extension of
PGA Boulevard. If these two issues are not resolved as part of the County's , "Scripps"
amendments in April, the amendments needed by the City could be delayed for up to a year. As
a result, the City would be unable to approve the secondary and tertiary development and the
necessary supporting residential, commercial, and community components needed to capitalize
on the extraordinary opportunities presented by the Scripps project on the adjacent property
within the City. County staff has verbally assured us that the development proposed within the
City will be included in the County's traffic modeling and the resulting Comprehensive Plan
Amendments, but these items should be specifically detailed in the JPA.

The County staff and the City staff have identified a similar list of issues which need to be
addressed. However, as currently drafted by the County staff, the JPA delays resolution of
many of these issues until the Joint Master Plan is developed. Hopefully, a Joint Master Plan
will be developed and approved — however, if that approval does not occur (or does not occur
until after the County DRI is submitted for approval), the issues will be left unresolved. It is
therefore essential that as many of these issues be addressed and resolved in detail in the JPA
itself.
The JPA should address, at a minimum, the four items the City Council established as essential
to the Joint Planning process:
1. A unified DRI for both properties.
2. Assurances for Traffic Concurrency.
3. Extension of PGA Boulevard.
4. Future Annexation of Mecca.
Additionally, there are several other elements which are essential for effective planning of the
1larger area:
1. Provision of Municipal Services (Police, Fire).
2. Recognition of Seacoast Utilities as service provider.
3. Third -party conflict resolution process.
4. Support for City entering into a Memorandum of Agreement with OTTED for expedited
review of development on the Vavrus property.
5. Environmental Planning - wildlife corridor, mitigation, and Everglades restoration /
regional water resource issues.
Please note that, although the City staff believes that a unified DRI for the MeccaNavrus
property would present the best opportunity for coordinated review, the County staff has
declined to proceed in that manner, citing time constraints. The second best approach would be
the simultaneous processing of a DRI for the property within the City. If both the County and the
City DRIs are in the process at the same time, this would provide the opportunity for Treasure
Coast Regional Planning Council, the Department of Community Affairs, and the other reviewing
agencies to review the "big picture ", and most importantly, to review how both projects can be
integrated. Because economic development and the creation of new jobs is the foundation of all
the state and federal funding associated with the Scripps project, it is essential to create a
development plan which adequately addresses jobs and the support services and housing to
support those jobs.
We will therefore utilize the draft JPA presented by the County as a starting point, and present a
more comprehensive agreement to the County staff for their consideration by February 9, 2004.

INTERLOCAL AGREEMENT ENTERED INTO BY THE BOARD OF COUNTY
COMMISSIONERS OF PALM BEACH COUNTY, FLORIDA, AND
THE CITY OF PALM BEACH GARDENS PROVIDING FOR
PREPARATION OF A JOINT MASTER PLAN FOR THE
SCRIPPS BIOMEDICAL RESEARCH AND DEVELOPMENT PLANNING AREA
This Interlocal Agreement, hereinafter referred to as "Agreement," is made this
day of between the City of Palm Beach Gardens, hereinafter
referred to as "City," and Palm Beach County, a political subdivision of the State of Florida,
hereinafter referred to as "County." (The City and the County are jointly referred to herein
as "parties. ")
WHEREAS, both parties exercise comprehensive planning authority pursuant to the
Local Government Comprehensive Planning and Land Development Regulation Act, as set
forth in Part II of Chapter 163, Florida Statutes, hereinafter, the "Planning Act ", and enforce
land development regulations to regulate the development of land within the respective
areas of jurisdiction of each party; and
WHEREAS, Section 163.171, Florida Statutes (2003) provides that a county and a
} municipality may jointly exercise the powers granted under the provisions of the Planning
Act upon adoption formal adoption of an official agreement by the governing bodies
involved pursuant to law; and
WHEREAS, the general administration of this agreement is governed by the
provisions of Part I of Chapter 163, Florida Statutes (2003) the Florida Interlocal
Cooperation Act of 1969, hereinafter the "Interlocal Cooperation Act "; and
WHEREAS, the parties have determined that it is appropriate to enter into this
Agreement in order to ensure efficient and orderly development, and intergovernmental
coordination and cooperation and provide heightened review of development proposals;
and
WHEREAS, the orderly planning for future development of both the County and the
City requires that the procedures set forth herein be followed; and
WHEREAS, Policy 1.4 -d of the Intergovernmental Coordination Element of the 1989
Palm Beach County Comprehensive Plan calls for the County to pursue interlocal
agreements with municipalities that have identified future land use designations for
adjacent unincorporated areas; and
WHEREAS, Objective 1. 1.8 of the Future Land Use Element of the Palm Beach
Gardens Comprehensive Plan calls for the City to improve coordination with affected and

appropriate governments and agencies to maximize their input into the planning and
development process and mitigate potential adverse impacts of future development and
redevelopment activities; and,
WHEREAS, Policy 1.1.8.3 of the Future Land Use Element of the City of Palm
Beach Gardens Comprehensive Plan calls for the City to coordinate requests for
development orders or permits, as required, with Palm Beach County, adjacent
municipalities, the Countywide Intergovernmental Coordination Program, Treasure Coast
Regional Planning Council, South Florida Water Management District, and state and
federal agencies; and,
WHEREAS, to facilitate the establishment and operation of a biomedical research
institution for the purposes of enhancing education and research and promoting economic
development and diversity; the State of Florida has created the Scripps Funding
Corporation in Sec. 288, 955 Fla. Stat to fund establishment of Scripps Florida; and,
. WHEREAS, Scripps Florida is locating its permanent facility in Palm Beach County
on a portion of the area subject to this Agreement; and,
WHEREAS, Joint planning by the City and the County will promote the success of
Scripps Biomedical Research and Development Planning Area and Scripps Florida by
promoting quality development, compatibility of uses, and innovative community and
environmental planning; and
WHEREAS, the City and County have each held a public hearing on this Agreement
with public notice.
NOW THEREFORE in consideration of the covenants made by each party, the
mutual obligations, undertakings, and advantages to be realized by the parties hereto, the
parties do hereby covenant and decree as follows:
Section 1. Incorporation of Recitals.
The foregoing recitals are true and correct, were relied on by the parties entering into this
Agreement and are a part of and incorporated into this Agreement.
Section 2. Authority.
This Agreement is entered into pursuant to the general authority of the Planning Act and
the Interlocal Cooperation Act.
Section 3. Definitions.
For purposes of this agreement the following terms are defined as follows:
A. Advising Local Government - the government reviewing a development proposal or
plan amendment located within the jurisdiction of the jurisdictional local government
B. Jurisdictional Local Government - the local government processing the development
application.
C. Joint Review - review by jurisdictional and advising local government.
D. Planning Director - the planning official designated by each of the parties to
implement this Agreement.
E. Joint Master Plan - the Joint Master Plan for the Scripps Biomedical Research and
Development Planning Area contemplated in this agreement.
F. Planning Area - The area described and depicted in Exhibit A.
Section 4. Term.
A. This Agreement shall remain in effect until such time that the Agreement is
terminated by the City or the County, following the adoption of a resolution for that
purpose. As a condition precedent to the termination of this Agreement, the party
proposing to take such action shall provide one year advance written notice of its
intention to terminate this Agreement unless a shorter period of time is jointly
agreed to by the City and the County.
Section 5. Preparation of Joint Scripps Biomedical Research Area Master Plan.
The parties hereby agree to prepare the Joint Master Plan for the Scripps Biomedical
Research and Development Planning Area, hereinafter referred to as "Joint Master Plan."
The Joint Master Plan will address the following subjects:
A. Assignment of generalized land uses including density, intensity and airport zoning.
The Joint Master Plan will provide for the clustering of uses, mixed uses, internal capture
of traffic, and connectivity between the Mecca and Vavrus properties.
B. Transportation Improvements including internal and external roadway network,
pedestrian and bicycle paths and Mass Transit.
C. Identification of comprehensive plan amendments necessary to implement
the Joint Master Plan.
E. Environmental Planning- wildlife corridor, mitigation and Everglades restoration/
regional water resource issues.
F. Utilities- water, sewer, natural gas, electricity, fiber optic.
G. Timing and Phasing of Development including assignment of traffic capacity
H. Workforce Housing

Section 6. Commitment by Parties to Expeditiously Prepare Joint Master Plan.
The parties understand that time is of the essence in preparation of the Joint Master Plan
and the parties will do everything possible to insure the plan is prepared in a timely
manner.
Section 7. This Agreement and the Joint Master Plan Cannot Be Used as a Basis for
Appeal or Delay Any Permit Undertaken Pursuant to the Expedited Permitting
Process.
The parties acknowledge that Palm Beach County and the State of Florida Office of
Tourism, Trade and Economic Development have have entered into a Memorandum of
Agreement pursuant to 403. 973 F.S. for the expedited permitting of the portion of area
subject to this agreement described in Exhibit "B." The expedited permitting process is
necessary to insure the timely construction of the Scripps Biomedical Research Institute
and Campus. This Agreement and the Joint Master Plan cannot be used as a basis to
challenge any permit subject to the expedited permitting process.
Section 8. Commitment by Parties to Consider Adopting Joint Master Plan by
Resolution as a Guide for Preparing Comprehensive Plan Amendments,
Development of Regional Impact Application for Development Approval and Zoning
Applications.
After preparation of the Joint Master Plan, the parties shall each consider adopting the
Joint Master Plan by resolution as a policy guide. Upon adoption of the Joint Master Plan
by resolution, the adopting party agrees to utilize the Joint Master Plan as a guide in the
preparation of all comprehensive plan amendments, development of regional impact
application for development approvals and zoning applications in the area described in
Exhibit A.
Section 9. Scripps Biomedical Research Area Joint Planning Area Procedures.
After this agreement has gone into effect and each of the parties have adopted by
resolution the Joint Master Plan, the procedure to amend local land use maps in area
subject to this Agreement shall be as follows:
A. Pursuant to the requirements of chapter 163, Part II, Florida Statutes, the City and
County Comprehensive Plan shall remain in full force and effect over its jurisdiction.
The County and City shall have full authority for the preparation and adoption of the
applicable comprehensive plans and any amendments thereto pursuant to the
Planning Act, and for the adoption, amendment and enforcement of land
development regulations thereunder.
B. All proposed changes to a land use designation on a party's comprehensive plan
land use map or map series within the Planning Area shall be reviewed for
consistency with the Joint Master Plan. Any land use map amendment within the
Planning Area shall require use of the joint review process specified in this
Agreement. The joint review process shall require that each of the parties process
the amendment as outlined below:

1. Joint Planning Review
a. The Jurisdictional Local Government shall prepare a staff report and the
Advising Local Government shall prepare a written assessment and
recommendation with comments, which shall become an attachment to the
jurisdictional staff report. The Jurisdictional Local Government's staff report
shall be provided to the staff of the advisory local government at least ten
(10) working days prior to the Jurisdictional_ Local Government's Local
Planning Agency (LPA) public hearing.
b. The Jurisdictional Local Government LPA shall hold an advertised public
hearing. The Advising Local Government shall be afforded the opportunity
to address the Jurisdictional Local Government LPA during the public
hearing. The Jurisdictional Local Government LPA shall consider the
recommendations of the Advising Local Government during its deliberations.
C. The Jurisdictional Local Government elected body shall then hold an
advertised public hearing. The Advising Local Government shall be afforded
the opportunity to address the Jurisdictional Local Government elected body
during the public hearing. The Jurisdictional Local Government elected body
shall consider the recommendations of the Advising Local Government
during its deliberations.
2. Additional Considerations
a. The Jurisdictional Local Government shall have exclusive authority to
determine consistency with the Joint Master Plan.
b. The Jurisdictional Local Government's rules and procedures for the
amendment process shall be adhered to in processing the amendment
application. The procedures herein shall not be construed to supersede or
invalidate the Jurisdictional Local Government's rules and procedures.
C. During the joint review process, the Jurisdictional Local Government shall be
responsible for forwarding any revisions to the application to the Advising
Local Government within two (2) working days of receipt of said revisions.
d. The Jurisdictional Local Government shall provide the Advising Local
Government with at least five (5) working days notice of all public hearings.
The Jurisdictional Local Government shall immediately notify the Advising
Local Government of any requests to postpone scheduled public hearings.
Section 10. Joint Staff Review of Development Proposals.
All petitions for development approvals within the Planning Area requiring public hearings

1 before quasi - judicial boards or the legislative bodies of the parties shall be subject to
review by both parties with the exception of public hearings held by the Palm Beach County
Development Review Appeals Board. The Jurisdictional Local Government shall notify the
Advising Local Government within fifteen (15) working days of the submittal of the
application. The Advising Local Government shall have ten (10) working days, upon
receipt of the application, to provide any written or oral comments or objections to ensure
that the petition meets the recommendations of the Joint Master Plan.
Section 11. Notification.
All notifications required in this agreement shall be sent to the Planning Directors of each

Section 12. Enforcement.
This Agreement is valid and enforceable. Only the parties to the Agreement have standing
to enforce the agreement. A violation of the Agreement shall not be deemed a violation of a
local comprehensive plan. No third party has standing to enforce the Agreement.
Section 13. Effective Date.
The provisions of this Agreement shall become effective upon the execution of this
Agreement by both parties.
Section 14. Originals.
This Agreement may be executed in two (2) or more counterparts, each of which shall be
deemed an original. All of which together shall constitute one (1) and the same instrument.
Section 15. Copy filed with the clerk.
A copy of this Agreement shall be filed with the Clerk of the Circuit Court in and for Palm
Beach County, Florida.

You have read about it in the newspapers.
You have seen it covered by area television
stations. It is the biggest thing to hit South
Florida since Henry Flagler extended the
rail lines to service our area. !t, of course,
is The Scripps Research Institute which has
decided to call Palm Beach County its new
home.
Now that Scripps has formally announced
its location of choice, Mecca Farms, it is
time to roll up our sleeves and get to work.
Although Mecca Farms is not technically
within Palm Beach Gardens, we will be
affected by the economic impact through
spin -off, industries, that such a., notable
institution brings. And unlike Scripps, which
is a non - profit organization and therefore
tax exempt, the spin -offs, more than likely,
will be within our City, next to our municipal
golf course, and on our western boundaries
off the Beeline Highway. They have the
potential to diversify our economy and add
tremendously to our tax base.
A simple review of the area's geography
places Palm Beach Gardens in a very
enviable position. Spin -off companies that
will surely follow Scripps cannot be located
to the west of Mecca Farms — that area is a
dedicated_ wildlife preserve. Expansion
must go east and that is within the
corporate limits of Palm Beach - Gardens.
But. the ,possi.bility of diversifying the tax
base- and adding_ new revenue is almost
beside the point.
Scripps brings 'hope.
The hope of finding cures to diseases that
have plagued society for centuries.
Hope that aging doesn't necessarily mean
the loss of cognitive functioning.
Hope that children will not despair because
of losing a mother to breast cancer.
Research Triangle Park in North Carolina
has been touted as a model for a local
research park. The Business Development
Board of Palm Beach County, Inc. has
explored the possibility of implementing a
research park for the past several years.
Some quick facts: Research Triangle Park
covers some 7;000 acres and is home to
131 organizations, 100 of which are
dedicated to research and development.
Pharmaceutical giants such as
GlaxoSmith Kline, Bayer, and Eli Lilly; the
National Institute of Environmental Health
Sciences; and DuPont Technologies are
just a few of the corporations located within
Research Triangle Park. There are about
38,500 full -time employees who work within
the Park, with a total payroll estimated at
$2.7 billion.
This, too, brings hope.
Hope that our residents will have expanded
employment opportunities.
Hope that through diversifying our
economy, our residents will not be faced
with losing their jobs without having other
options available.
Hope that our children and grandchildren
could actually complete their formal
education, find a challenging job here, and
come home.
It's all about hope, when it comes right
down to it.
Hope that is rooted in the promise of a
bright future for all of our citizens.
And the promise that the future will be
grown with a vision that considers all
aspects of our quality of life.
We all owe a debt of gratitude to the
Business Development Board; the Palm
Beach County Commissioners; the State of
Florida Legislature — particularly Palm
Beach County Legislative Delegates; and
Governor Bush for working together to
entice Scripps.
Palm Beach Gardens City Council and staff
are committed to making "the vision" a
reality.

The Vision...
The announcement of The Scripps Research
Institute co- locating operations in Palm Beach
County is akin to NASA locating facilities in Florida
in the 1960's. The magnitude of the project is truly
a "once in a generation" opportunity and one that
must be seized.
And it will, literally, shape the landscape of Palm
Beach County, if not the entire State, providing
secure, high paying jobs for decades to come. It is
imperative to work diligently to leverage the far -
reaching implications afforded to us by the Scripps
announcement. A vision of building a scientific
village — not just the two or three buildings that are
needed for The Scripps Research Institute itself.
Creating a scientific village.
What is meant by a scientific village?
There are numerous - research parks that can be
examined as case studies in creating the vision of
a scientific village. One of. the most notable is
Research Triangle, Park in North Carolina, which
has enjoyed great success in marketing itself as a
medical research leader. Other models worth
examination include Oxford Scientific Park
(England), Centennial Park (NC), and the current
Scripps facilities (CA). By examining the
successes and correcting the weak areas, many
pitfalls can be eliminated predisposing the Palm
Beach County version for unlimited success.
The driving factor in each of these successful
models is: development is based on the park's
philosophy verses another "real estate deal ".
For example, Centennial Park has very strict
criteria and guidelines that must be established
before a company may purchase or lease property
within the park. The applicant (company) must
show how they would fit into the synergy of the
park and contribute to the exchange of intellectual
knowledge. The symbiotic relationship between the
park's "philosophy" and resident company is never
compromised. Amy Lubas, Partnership Developer,
attributes the success of Centennial Park to
maintaining high standards and never
compromising on the park's established
philosophy.
As a side note- The vast majority of successful
research parks are controlled by a non - profit entity.
To vary from the vision of creating a scientific
village would diminish the full potential_ of the
project_ The vision that, if embraced and executed,
will realize the maximum "return on investment" for
the taxpayers of the County and State.
Scripps' officials have stated, repeatedly, that they
endorse the vision of a scientific village. The
concept of a village as a place where an employee
may live, play, learn, and work without having to
get into a car. A scientific village that enables the
exchange of intellectual knowledge and promotes
collaboration, which is so important to finding the
cures for cancer, Parkinson's, Alzheimer's, and
innumerable other diseases that plague society. A.
place that attracts the top minds from throughout
the world.
What makes a successful scientific village?
Interestingly, elements that are needed in creating
a successful scientific village are identical to those
that are necessary to make a sustainable
community. The days of bed -room communities
are past — people want to be able to live, play,
learn, and work without compromising their quality
of life. A variety of housing options, parks and
green space, good schools, and quality
employment options that create wealth — not just
"spin" wealth - are all elements of a sustainable
community.
Indeed, Palm Beach Gardens officials identified the
need to diversify the economic base through
understanding these principles and, therefore,
created an economic development and marketing
division that collaborates closely with the growth
management division. In both divisions there is the
innate understanding that quality of life issues work
hand -in -hand with economics thereby ensuring a
balance of smart growth.
Benefits to Our Citizens...
Palm Beach Gardens' tax base is approximately
80% residential, meaning that citizens are
spending a substantial amount of time in their cars
to get to work. The vast majority of the remaining
tax dollars are generated by retail establishments
that are dependant on expendable income. As a
general rule, retail "spins" money that is already in
the system, it does not create new sources of
wealth.
Couple this factor with a demographic analysis that
shows that Palm Beach Gardens' residents are
highly educated, and it makes sense to recruit
companies that can provide employment for our
residents' skill sets. The Scripps Research
Institute alone will not provide all the projected
jobs, but rather, the other companies that are
associated with Scripps will.
This basic economic principle has been proven by
a host of research parks throughout the world that
do not have the competitive advantage of The
Scripps Research Institute on their site.
Estimates by The Washington Economics Group,
Inc. anticipate that a state -of- the -art research
campus (with Scripps as the magnet) would
provide nearly 44,300 direct and indirect jobs in the
first 15 years. Positions ranging from Nobel
Laureates, doctors, and lawyers to visiting interns
and students. Positions that provide options to our
citizens and diversify our economy.
Basically, a scientific village will-
• Provide jobs that "create wealth" in the
immediate area allowing citizens to work
where they live.
• Provide citizens with a variety of
employment options thereby creating a
better quality of life.
• :`Diversify the tax base of Palm Beach
Gardens.
• Provide a variety of housing within the
village thereby internalizing traffic impact
and controlling congestion on major
roads.
• Reduce the tax burden on homeowners.
Putting "back into" the community...
The Scripps Research Institute has a long history
of "putting back" into the community. Much has
been written about the benefits to Florida
universities, but Scripps also has a track record of
educational outreach programs for high school
students and teachers. Current programs at the
California site include a High School Student
Research Education Program and Summer
Internship Program for Secondary Teachers.
Could you imagine having a field trip to the world
leader in scientific research as an elementary or
middle school student? Or as a high school
student to be able to boast on college applications
that you have completed an internship with The
Scripps Research Institute. And to know that you
could possibly work there someday?
Careful planning...
Careful planning and examination of successful
scientific research models is imperative. A big
picture approach to planning can eliminate
duplication of efforts between agencies, allows for
the coordination of infrastructure requirements
(roadways, mass transit, wireless communications,
and a host of other issues), and the ability to
identify needs that are necessary for the successful
completion of a scientific village.
Most importantly, careful planning would take into
account the intrinsic values of Palm Beach
Gardens. After all, quality of life issues were one
of the considerations that Scripps used in selecting
our area in the first place.
