AGREEMENT
AGREEMENT NO.: A2012 -003CS (A)
THIS AGREEMENT is made and entered into by and between the City of Palm Beach Gardens, a
Florida municipal corporation (hereinafter referred to as “City”),AwhoseAaddressAisA10500ANorthAMilitaryA
Trail, Palm Beach Gardens, Florida 33410, and ______________________, (here in after referred to as
“ rtist ”),AwhoseAa ddress is _____________________________________________________ .

WHEREAS, the Art in Public Places Advisory Board has recommended entering into stipend
contracts , with three separate artists , for Design Proposals for the Veterans Plaza Shelter P roject located
in the City of Palm Beach Gardens, Florida, (hereinafter referred to as "Plaza ").
NOW, THEREFORE, in consideration of the mutual covenants and promises her e in after set forth,
the Artist and the City agree as follows:
ARTICLE 1. PROJECT DESCRIPTION
a. Background
The Art in Public Places Board is working on a project to add shelter -like artistic
structuresAwithinAtheAVeteran’sAPlazaAatACityAHall. The Plaza currently contains a stage
and hosts a number of City events throughout the year. The structures would provide
protection from the elements during an event for bot h patrons and performers . The
Board is seeking Design Proposals from selected artists to create these artistic s helters
in order for the Plaza area to be better equipped for outdoor events.
b. Design Proposal
The Artist shall create a Design Propos al for the Plaza in a mutually agreed upon format
(model, drawing, video, etc.) which shall consist of: (1) the design intent, the
approximate proportions and size of the structure , and a description of the materials ;
(2) t he Artist shall provide a detailed and explicit description of any special equipment ,
methods, and changes to the Plaza that will b e necessary for the construction of the
shelters .
c. Completion Date
The date for completion, presentation, and delivery of the Design Proposal shall be
mutually agreed upon by the City and the Artist , but shall be no later than September
30, 2012 .

d. Selection
The City will select one (1) Artist and his/her single design for construction and
installation at the Plaza . Notwithstanding, the City reserves the right to incorporate
elements of designs from other artists in making i ts final decision on the selected design
of the shelter structures.
ARTICLE 2 . INTELLECTUAL PROPERTY RIGHTS
If the City accepts the Design Proposal, the Artist shall grant to the City title to the Design
Proposal, models, drawings, digital images, and video, in addition to a non -exclusive royalty -fr ee license
to reproduce analog and digital images of the Design Proposal for adverti sing and publicity purposes .
ARTICLE 3 . EXTENT OF AGREEMENT
There is no agreement, either expressed or implied, that the City shall enter into a contract or
issue to the Artist a Notice to Proceed for the construction of the selected Design Proposal at the Plaza .
If the City accepts the Design Proposal of the Artist, the City may enter into a contract with the Artist to
provide consultation services to the City and any contractor selected to construct the shelter at the
Plaza.
ARTICLE 4 . COMPENSATION
The City wi l l pay the Artist according to the following schedule:
a . The City shall pay the Artist an initial mobilization sum of One Thousand Dollars
($1,000) within thirty (30) days after execution of this Agreement by both
parties , and upon presentation of an invoice by the Artist to the City .
b . The City shall pay the Artist a final payment of Two Thousand Dollars ($2,000)
upon delivery and presentation of the Design Proposal to the City by the agreed
date of completion, for a total of Three Thousand Dollars ($3,000).
NOTE: All visits to the P laza deemed necessary by the Artist are included in the compensation
of Three Thousand Dollars ($3,000) to be paid under this Agreement.
ARTICLE 5 . INVOICES
The Artist shall submit invoices to the City for payments addressed as follows , and per th e
compensation schedule established in Article 4 above :

ARTICLE 6 . NOTICES
All notices or other written communications required, contemplated, or permitted under this
Agreement shall be in writing and shall be hand delivered, telecommunicated, or mailed by registered or
certified mail (postage prepaid), return receipt requested, to the following addresses:

ARTICLE 7 . MISCELLANEOUS PROVISIONS
a . This Agreement constitutes the entire understanding and agreement between
the parties with respect to the subject matter hereof.
b . All of the terms and provisions of this Agreement, whether so expressed or not,
shall be binding upon, inure to the benefit of, and be enforceable by the parties and their respective
legal representatives, successors, and permitted assigns.
c . If any part of this Agreement is contrary to, pro hibited by, or deemed invalid
under applicable law or regulation, such provision shall be inapplicable and deemed omitted to the
extent so contrary, prohibited, or invalid, but the remainder hereof shall not be invalidated thereby and
shall be given full f orce and effect so far as possible.
d . This Agreement and all transactions contemplated by this Agreement shall be
governed by, and construed and enforced in accordance with, the laws of the State of Florida without
regard to any contrary conflicts of l aw principle. Venue of all proceedings in connection herewith shall
lie exclusively in Palm Beach County, Florida, and each party hereby waives whatever its respective
rights may have been in the selection of venue.
e . This Agreement may not be modifie d unless such modification is set forth in
writing and signed by both parties.

f . This Agreement may not be assigned without the prior written consent of all
parties to this Agreement.
g . It is hereby understood and agreed that in the event any laws uit in the judicial
system, federal or state, is brought to enforce compliance with this Agreement or interpret same, or if
any administrative proceeding is brought for the same purposes, the non -prevailing party shall pay to
the prevailing party reasonabl eAattorney’sAfeesAandAcosts,AincludingAappellateAfeesAandAcosts.
h . The effective date of this Agreement shall be as of the date it has been executed
by all the parties hereto.
i . This Agreement may be terminated for convenience by the C ity at any time
uponAsevenA(7)Adays’ApriorAwrittenAnoticeAtoAtheA rtist.AA Upon such termination, the City shall be relieved
of all liability hereunder.
j . This Agreement shall not be construed against the party who drafted the same
as all parties to thi s Agreement have had legal and business experts review the adequacy of the same.
k. The headings contained in this Agreement are for convenience of reference
only, and shall not limit or otherwise affect in any way the meaning or interpretation of this Agreement.
ARTICLE 8 . DEFAULT
If the Artist fails to deliver to the City the Design P r oposal contracted for within the time
s tipulated in Article 1 (c), the City shall have the right to find the Artist in default and to terminate the
Agr eement with the Artist. If the Agreement is so terminated, the Artist shall reimburse t he City for the
initial mobilization payment the City made to the Artist for the Project .
ARTICLE 9 . TERM OF AGREEMENT
This Agreement shall be effective from the date of executi on of both parties and shall end upon
the delivery and presentation of the Design Proposal, and the subsequent review and acceptance of the
Design proposal by the City.
